- Individuals aged 18 or older
- Entities that are legally able to enter into binding contracts
4. Use of the Website
Permitted Uses
You may use this Website to learn about our services, view examples of our work, submit inquiries through contact forms, and schedule consultations.
Prohibited Uses
You may not use this Website for any illegal purpose, attempt to gain unauthorized access to any part of the Website, interfere with or disrupt the Website's functionality, submit false or misleading information, or use the Website to harm, harass, or impersonate others.
5. How Our Service Works
Step 1: Free Consultation Call
The process begins with a free consultation call where we discuss your business, goals, and website requirements. There is no cost or obligation associated with this call.
Step 2: Free Homepage Draft
After the consultation, provided you have shared the necessary assets or have agreed for us to create the website without them, we will build a homepage draft for you within 24 hours. This draft is provided at no cost and with no obligation.
Step 3: Presentation & Decision
We will schedule a second call to present the homepage draft to you. You may decide on the spot whether you wish to proceed, or you have up to 24 hours after the presentation to make your decision.
If you choose not to continue, you owe nothing and the process ends. If no decision is communicated within the 24-hour window, the offer is considered declined, and you are under no obligation. The homepage draft remains the intellectual property of Ad Amuse and may not be used, published, or distributed without entering into a paid service agreement.
Step 4: Proceeding with a Project
If you choose to proceed, you confirm your selected service package and pay the first installment (50% of the agreed project price). Once payment is received, we begin work on the remaining pages and deliverables. The remaining website is typically delivered within 2 working days, provided all necessary content and assets have been supplied.
By confirming your decision to proceed, you acknowledge that:
- Custom design and development work will begin immediately based on your specific requirements.
- The work is made to your individual specifications and is therefore personalized.
- You expressly request that work begins before any applicable withdrawal period expires, and you acknowledge that the right of withdrawal is lost once the service has been fully performed (see Section 7).
6. Payment Terms
Pricing
Ad Amuse offers the following service packages. All prices are in Danish Kroner (DKK) and are exclusive of VAT (moms) at the applicable rate.
- Starter: From 6,000 DKK - includes a complete website with up to 3 pages, content written for you, SEO and speed optimization, cookie banner setup, safe domain migration, and 1 round of revisions.
- Complete: From 14,000 DKK - includes everything in Starter, plus up to 10 pages (a dedicated page per service), full legal compliance setup (privacy policy, cookie policy), full analytics setup with EU-compliant tracking, online booking integration, and 2 rounds of revisions.
- Growth Partner: 85,000 DKK - includes everything in Complete, plus up to 20 pages (including location and campaign pages), competitor analysis, pricing and offer strategy review, conversion tracking on every action, full legal coverage including Terms of Service, a 2-hour AI workflow walkthrough, and 3 rounds of revisions. Limited to 2 clients per quarter.
- Additional pages: 1,200 DKK per page (applies to all packages).
- Monthly Maintenance Add-on: 1,300 DKK per month - includes up to 10 updates per month with 24-hour turnaround, hosting, security monitoring, and uptime management.
Package contents and pricing may be updated from time to time. The pricing and scope confirmed in writing at the start of your project is what applies to your agreement.
Revisions
Each package includes a specified number of revision rounds as described above. A "revision round" means a single consolidated set of feedback and requested changes submitted together. Additional revision rounds beyond what is included in your package may be quoted separately.
Payment Schedule
Unless otherwise agreed in writing, payment follows this structure:
- First payment (50%): Due when you confirm your decision to proceed after the homepage presentation. An invoice will be issued with payment due within 8 days. Work on the remaining pages and deliverables begins upon receipt of payment.
- Final payment (50%): Due upon completion and delivery of the finished website. An invoice will be issued with payment due within 8 days.
- Monthly maintenance: If you subscribe to the maintenance add-on, invoices are issued monthly in advance with payment due within 8 days.
Payment Method
Payment is made by bank transfer based on the invoice provided. The invoice will include all necessary bank details.
Late Payment
If payment is not received by the due date, interest will be charged in accordance with the Danish Interest Act (Renteloven), currently the Danish National Bank's reference rate plus 8 percentage points per annum. A reminder fee of DKK 100 may also be charged for each written reminder.
Ownership Until Payment
Ad Amuse retains full ownership of all work, including website code, design files, and content created for the project, until all invoices have been paid in full. This means that if payment is not completed, Ad Amuse reserves the right to take down or restrict access to the delivered website and withhold all project files.
7. Right of Withdrawal
Business Clients (B2B)
If you are purchasing our services for business purposes, the right of withdrawal under the Danish Consumer Contracts Act (Forbrugeraftalelov) does not apply to you.
Consumer Clients and Sole Proprietors
If the right of withdrawal applies to your purchase, you have a 14-day right of withdrawal from the date the service agreement is entered into. However, because our services involve custom work made to your individual specifications, and because we begin work immediately upon your confirmation:
- By confirming your decision to proceed (Section 5), you expressly consent to the commencement of work before the withdrawal period expires.
- You acknowledge that once the service has been fully completed, you lose your right of withdrawal.
- If you exercise your right of withdrawal after work has begun but before completion, you are required to pay a proportionate amount for the work already performed up to the point of withdrawal.
To exercise your right of withdrawal, contact us at team@adamuse.com with a clear statement of your decision. You may use the standard EU withdrawal form, but this is not mandatory.
8. Intellectual Property & Ownership
Before Full Payment
All work produced by Ad Amuse, including website code, design, layout, copy, and other deliverables, remains the property of Ad Amuse until full payment has been received.
After Full Payment
Upon receipt of full payment, ownership of the project deliverables transfers to you. This includes the website code, design, and content created specifically for your project. For Growth Partner clients, this also includes any competitor analysis reports, pricing and offer strategy recommendations, and other strategic deliverables produced as part of the engagement.
What Ad Amuse Retains
Ad Amuse retains the right to:
- Reuse general methodologies, techniques, frameworks, and tools developed or used during the project. These are not considered part of the project deliverables.
- Display the completed project (or anonymized portions of it) in our portfolio, case studies, and marketing materials, unless you request otherwise in writing.
- Include a small, unobtrusive credit link on the website (e.g., "Website by Ad Amuse"), unless you request its removal.
Your Content
You retain ownership of any content, images, logos, or materials you provide to us for use in the project. You warrant that you have the right to use and share this content, and that it does not infringe on any third party's intellectual property rights.
Third-Party Assets
Websites may include third-party assets such as fonts, stock images, or open-source libraries. These remain subject to their respective licenses. Ad Amuse will inform you of any third-party licenses that require your attention.
9. Hosting & Domain Management
Hosting Ownership
Where Ad Amuse sets up hosting for your website, the hosting account is created in your name and belongs to you. You retain full ownership and access to the account at all times.
Managed Hosting
If you engage Ad Amuse for ongoing hosting management, we will have access to your hosting account to perform updates, maintenance, and technical work. You may revoke this access at any time by changing your account credentials and notifying us.
Domain Transfers
When Ad Amuse assists with domain migration or transfer, the domain remains your property at all times. We will never register a domain in our own name on your behalf. Any DNS changes or transfers will be communicated to you before they are made.
10. Client Obligations
To enable us to deliver the agreed services effectively, you agree to:
- Provide accurate and complete information, content, and materials as requested and within reasonable timeframes. Our ability to deliver within the stated timelines (including the 2-day delivery after project confirmation) depends on timely receipt of all necessary assets and content from you.
- Respond to requests for feedback, approvals, or decisions in a timely manner. Delays on your part may result in delays to the project timeline. Ad Amuse is not responsible for missed delivery estimates caused by late or incomplete asset delivery.
- Submit revision feedback as a single consolidated set of changes per revision round, rather than piecemeal requests.
- Ensure that any content, images, or materials you provide do not infringe on any third party's rights.
- Provide access to any existing hosting accounts, domain registrars, or third-party services required for the project.
- Review and test deliverables within the timeframe specified in the service agreement.
11. Confidentiality
Both parties agree to keep confidential any non-public information disclosed during the course of the project. This includes, but is not limited to:
- Your information: Business strategies, pricing structures, customer data, financial information, trade secrets, and any other sensitive business information you share with us.
- Our information: Proprietary methods, tools, workflows, pricing structures, and technical processes used in delivering our services.
Confidential information will not be disclosed to third parties without prior written consent, except where required by law or where the information becomes publicly available through no fault of the receiving party.
This confidentiality obligation survives the termination of the service agreement and remains in effect indefinitely for trade secrets and for a period of 2 years for all other confidential information.
12. Disclaimers
No Guaranteed Outcomes
While Ad Amuse builds websites optimized for performance, search visibility, and conversions, we do not guarantee specific business outcomes such as a particular number of leads, revenue increase, or search engine ranking position. Results depend on many factors beyond our control, including your market, competition, content quality, and ongoing marketing efforts.
Third-Party Services
We are not responsible for the performance, uptime, policies, or pricing changes of third-party services used in the delivery of our work, including but not limited to hosting providers, domain registrars, analytics platforms, and search engines.
Website Content
You are responsible for ensuring that the content published on your website complies with applicable laws, including advertising regulations, industry-specific requirements, and intellectual property laws. While we assist with compliance setup, ultimate responsibility for the accuracy and legality of your published content rests with you.
13. Limitation of Liability
To the extent permitted by Danish law:
- Ad Amuse's total liability for any claim arising from or related to our services is limited to the total amount you have paid for the specific project or service giving rise to the claim.
- Ad Amuse is not liable for indirect, incidental, or consequential damages, including loss of profits, loss of data, loss of business opportunities, or damage to reputation, except where caused by intentional misconduct or gross negligence on our part.
- Nothing in these Terms excludes or limits liability for fraud, intentional misconduct, gross negligence, or any other liability that cannot be excluded under Danish law.
14. Indemnification
You agree to indemnify and hold Ad Amuse harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:
- Content, images, or materials you provided that infringe on a third party's intellectual property rights.
- Your violation of these Terms.
- Your use of the delivered website in a manner that violates applicable law.
15. Data Protection & GDPR
Our Role
In the course of providing our services, Ad Amuse may process personal data on your behalf (for example, when setting up contact forms or analytics on your website). In such cases, Ad Amuse acts as a data processor, and you act as the data controller. Where a separate data processing agreement is required, we will enter into one.
When Ad Amuse collects personal data through this Website (for example, through our contact form), Ad Amuse acts as the data controller.
Legal Basis for Processing
We process personal data based on the following legal grounds:
- Contractual necessity: To deliver the services you have requested.
- Legitimate interest: To manage our business relationship, send project-related communications, and improve our services.
- Consent: Where you have given explicit consent, such as for marketing communications.
Your Rights Under GDPR
You have the right to access, rectify, erase, restrict processing, object to processing, and request portability of your personal data. You also have the right to withdraw consent at any time where processing is based on consent, and to lodge a complaint with the Danish Data Protection Agency (Datatilsynet).
To exercise any of these rights, contact us at team@adamuse.com.
Data Retention
We retain personal data only for as long as necessary to fulfill the purposes for which it was collected, or as required by law. Project-related data is retained for up to 5 years after project completion for accounting and legal purposes, in accordance with Danish bookkeeping requirements (Bogforingsloven).
For more information, please see our Privacy Policy.
16. Cookies & Tracking
This Website may use cookies and similar tracking technologies. Where cookies are used, we will provide a cookie consent mechanism in compliance with EU ePrivacy rules and GDPR. Details of the cookies used, their purpose, and how to manage your preferences are set out in our Cookie Policy.
17. Force Majeure
Neither party shall be liable for delays or failure to perform obligations under these Terms where such delays or failure result from circumstances beyond the reasonable control of the affected party. This includes, but is not limited to, natural disasters, pandemics, government actions, internet or infrastructure outages, cyberattacks, and disruptions to third-party services essential to the delivery of our work.
The affected party will notify the other party as soon as reasonably possible and will make reasonable efforts to mitigate the impact of the event.
18. Termination
By You
You may terminate the service agreement at any time by notifying us in writing at team@adamuse.com. If work has already begun, you are responsible for payment for all work completed up to the date of termination, calculated proportionately based on the agreed project price.
By Us
We may terminate or suspend our services if you breach these Terms, fail to make payments when due, become unresponsive for more than 14 days during an active project despite reasonable attempts to reach you, or engage in conduct that makes continued collaboration unreasonable.
Before terminating, we will make reasonable efforts to notify you and resolve the issue. Upon termination by us due to your breach, any payments already made are non-refundable to the extent that they reflect work already completed.
Effect of Termination
Upon termination, each party will return or destroy the other party's confidential information. Sections relating to intellectual property, confidentiality, limitation of liability, indemnification, and dispute resolution survive termination.
19. Dispute Resolution
In the event of a dispute arising from these Terms or our services, the parties agree to first attempt to resolve the matter through good-faith negotiation. If the dispute cannot be resolved within 30 days of written notice, either party may pursue resolution through the Danish courts.
These Terms are governed by and construed in accordance with Danish law. The courts of Denmark shall have exclusive jurisdiction, with venue at Retten i Horsens unless otherwise required by law.
20. Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated by updating the "Last Updated" date at the top of this page and, for active clients, by email notification. Continued use of our Website or services after changes are posted constitutes acceptance of the updated Terms.
21. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
22. Entire Agreement
These Terms, together with our Privacy Policy, Cookie Policy, and any individual service agreements, constitute the entire agreement between you and Ad Amuse regarding the use of our Website and services.
